Role Description The Senior Executive Qualified Company Secretary will oversee corporate secretarial functions, ensuring full compliance with statutory and regulatory requirements for client companies. Day-to-day responsibilities include preparing and filing necessary forms and returns, maintaining statutory registers and records, coordinating board and general meetings, drafting agendas, minutes, and resolutions, and supporting corporate governance initiatives. The role will also involve advising on Companies Act provisions, handling ROC and other regulatory interactions, and assisting with event-based compliances such as incorporations, share transfers, and changes in directorship. This is a full-time, on-site position based in Ernakulam, requiring close collaboration with internal teams and client representatives.
Qualifications
  • Candidates should possess strong company secretarial and compliance skills, including knowledge of the Companies Act, SEBI regulations (if applicable), and corporate governance practices.
  • Candidates should possess abilities in drafting and reviewing legal and corporate documents such as minutes, resolutions, notices, agreements, and policies.
  • Candidates should possess proficiency in maintaining statutory records, managing filings with ROC and other authorities, and using relevant compliance and documentation software.
  • Candidates should possess analytical and organizational skills to manage multiple client entities, track deadlines, and ensure timely completion of statutory obligations.
  • Candidates should possess effective communication and stakeholder management skills to collaborate with directors, auditors, regulators, and internal teams.
  • Company Secretary qualification (Member of ICSI) is required; additional academic credentials in law, commerce, or management are advantageous.
  • Prior experience in a similar company secretarial or compliance role, preferably in a corporate or consulting environment, is highly beneficial.
  • Ability to work with integrity, maintain confidentiality, and adapt to evolving regulatory and client requirements is essential.
