Roles & Responsibilities:

Corporate Governance & Compliance

1. Manage secretarial affairs, ensuring adherence to corporate laws and governance standards.

2. Advise Board and senior management on governance, directors' responsibilities, and statutory obligations.

3. Ensure timely compliance with Companies Act, Secretarial Standards, and relevant corporate laws.

4. Maintain statutory registers, records, and governance documents in compliance with regulations.

5. Monitor legal changes and advise management on compliance implications.


Meeting Management & Documentation

1. Plan and conduct Board, Committee, AGM, EGM, and other stakeholder meetings.

2. Prepare and review notices, agendas, minutes, and all meeting documentation.

3. Ensure accurate and timely circulation of meeting materials and minutes.

4. Facilitate communication between Board, management, and shareholders.


Statutory Filings & Audits

1. Manage all statutory filings, disclosures, and regulatory submissions.

2. Coordinate secretarial, internal, statutory, and regulatory audits.

3. Maintain compliance calendars and monitor organization-wide compliance.

4. Respond to regulatory queries promptly and accurately.


Contract Management & Legal Support

1. Draft, review, vet, and negotiate various legal and commercial agreements.

2. Identify and mitigate legal, commercial, operational, and regulatory risks in contracts.

3. Coordinate discussions with customers and external counsel to finalize agreements.

4. Provide legal support on contractual interpretation, dispute prevention, and risk management.

5. Administer the Company's contract repository and legal documentation system.


Legal Documentation & Risk Management

1. Ensure proper execution, storage, indexing, retrieval, version control, and confidentiality of all legal agreements.

2. Monitor contract validity, renewals, termination, and critical obligations.

3. Implement best practices for legal documentation management.

4. Proactively identify and mitigate legal risks across company operations and contracts.
