Department: Secretarial (Central Team)

Consultant Period: 9 -12 months

Reporting to: Group Head - Secretarial


KEY AREAS OF RESPONSIBILITY


  • Assist in organizing meetings of Board of Directors and its Committees, Annual General Meeting/ Extra Ordinary General Meeting including preparing the draft notice, agenda, minutes, Directors’ Report and ensuring compliances related to the meetings of Companies based in India and overseas subsidiaries.
  • Assist in ensuring compliance with the requirements of Companies Act, FEMA Regulations (FDI & Overseas Investments) which includes reporting on RBI FIRMS Portal such as Form DI, Form FCGPR, Form FCTRS etc.
  • Assist in maintenance of all the Statutory Registers, Records required under applicable laws and to ensure timely updation of the same
  • Assist the Company and Group Companies with Secretarial Audit, Internal Audit & Statutory Audit
  • Assist and Laison with overseas consultant for compliances of foreign subsidiaries in a timely manner


EXPERIENCE & EDUCATION REQUIRED


  • 5 to 8 years in secretarial role in a BFSI / highly regulated set ups (experience in listed companies preferred)
  • Company Secretary, (LLB added advantage)


SPECIAL SKILLS REQUIRED


  • Ability to work in a high-pressure environment
  • Ability to handle the secretarial workstream independently with minimal supervision
  • Ability to communicate complex provisions lucidly, influence decisions in complex scenarios
  • Good interpersonal and excellent drafting skills
