Job Description
Brief Role Dimensions Secretarial
- Organizing Board and other committee Meetings and Shareholders’ General Meetings of the Company, including preparing agendas, minutes, and resolutions.
- Secretarial work & Statutory Compliances under Companies Act, Listing Regulations and SEBI Regulations
- Prepare and file necessary documents, returns, and forms with government authorities, such as the Registrar of Companies (RoC), MCA and the Securities and Exchange Board of India (SEBI).
- Maintain and update statutory registers, books, and records required by law.
- Monitor changes in relevant legislation and regulations and communicate their impact on the company.
- RBI compliances for inward/outward investments/financial commitments
- Knowledge/experience of secretarial matters of overseas subsidiaries shall be an added advantage
- Prepare and file annual reports and other corporate disclosures with RoC, Stock Exchanges etc.
- Handling of matters related to corporate restructuring, mergers, acquisitions, and other corporate transactions. General Legal
- To provide professional legal advice, legal leadership, strategy, and risk management through knowledge experience and help develop compliance systems and processes for all of Amin Holdings operations and all areas of the business in India and all abroad locations.
- To provide and set strategic direction, sound balanced legal advice on a wide range of corporate commercial matters. Accountability for corporate compliance and legal issues.
Oversight for various legal regulatory and government affairs related matters.
- To advise on employment related issues e.g. termination, severance, mutual separation, outsourcing arrangements, employment templates.
- To be actively involved in managing potential litigation and ensure that Amin Holding interest is protected. To advise and assist the business partners in negotiations with third parties and to assist as appropriate in concluding settlements.
Contracts
- Should be a Business Enabler.
- Subject Matter Expert in International IT Outsourcing contacts. E2E contract management experience is a must including Drafting, Negotiating & Vetting.
- Experience in leading negotiations for high value, multiple years, complex SLA, and Contracts. Has handled complex cross border contract negotiations. Provide strong contracting & regulatory support to the business/procurement teams.
- Facilitator and Co-contributor while drafting complex contracts
- Provide general legal advice and support to other functions. Maintain good standards of corporate governance, including ensuring compliance with applicable laws, consents, regulations, Companies policies and rules. Mergers and Acquisitions
- Should be a collaborator and work on a broad mix of transactions, including public and private M&A (including divestments), joint ventures, and securities offerings.
- Most of the M&A activity will have an international dimension and will range from a larger scale, complex cross border transactions to smaller deals that provide greater leadership responsibility.
- Responsible for progressing key legal workstreams, including liaising with key stakeholders such as Corporate Development, Company Secretarial, Legal HR, Finance, Treasury, HR, Property and Insurance, as well as external stakeholders such as external counsel, accountants, corporate financiers, investment banking and corporate broking
- Front-line management of deals, including drafting and negotiating the key transactional documents, control of due diligence, advising on anti-trust issues, disclosure exercises and closings, managing projects to a budget, and taking responsibility for client satisfaction
Govt Relations
- The legal head should be well versed with Govt policies pertaining to business at large in India and other countries specifically the USA,UK, Austria,UAE and Maldives. Knowledge of other European country’s Govt policies is an added advantage.
- Well-versed with law of the land in the US and other geographies concerning (legal) local body Liaoning, local administration, Licenses, Certifications, Property matters, HR/Labor laws, etc.
- Educate the company leadership on political activity and provides intelligence and recommendations to the company on policy issues that will inform and influence business decisions and strategies.
Intellectual Property and Patents
- Proactively providing legal advice related to invention evaluation, domestic and foreign patent application preparation and prosecution, management of outside counsel, license review, drafting, and negotiation, IP-related government contract review and negotiation, bachelor’s degree required, with proven experience in government, public affairs, communications, or a related field
Ideal Candidate
- Seniority profile: Around 15-20 years of experience in IT or IT related companies with complete knowledge of the business and contracting laws in India and Internationally
- Scale: At least 5-7 years as the legal head of a IT Product Company with a substantial revenue base and experience in managing a variety of legal domains in various countries
- Background: Ideally should have got exposure to IT Product and Services, Outsourcing & Off-Shoring, BPO
- Leadership: Candidates should have functioned as Head of Legal for an independent company with commensurate complexities and scale
- Stature & caliber: Should be able to advice on commercial laws and regulatory requirements with conviction and gain acceptance from the business
- Educational Qualification: Bachelor of Law from reputed national law school or equivalent.
