Role Overview

We are seeking an experienced and proactive Legal & Contracts Manager to support the organization’s legal, commercial, and customer-facing operations. The ideal candidate will have deep experience in drafting and negotiating contracts, strong communication skills, and the ability to work closely with senior leadership. The role also requires coordination with billing and direct interaction with customers on legal and commercial matters.

Key Responsibilities

Contracting & Legal

Draft, review, negotiate, and finalize a wide range of contracts, including:

Customer contracts and Statements of Work (SOWs)

Vendor agreements

Master Service Agreements (MSAs)

Memoranda of Understanding (MoUs)

NDAs and confidentiality agreements

Partnership and collaboration agreements

• Identify and assess legal risks; provide practical, business-aligned solutions.
• Ensure all contracts adhere to internal policies, compliance standards, and regulatory requirements.
• Maintain comprehensive documentation and version control of all legal documents.
  
  

Customer Coordination & Negotiation

• Act as a key point of contact for customers on legal and commercial terms.
• Lead or support customer calls to negotiate contractual clauses, commercial terms, and deliverable commitments.
• Coordinate with customer counterparts (legal, procurement, finance) to ensure smooth contract execution and timely resolution of queries.
• Work with internal teams to prepare negotiation points, risk notes, and customer-facing responses.
  
  

Corporate & Compliance

• Support corporate governance requirements and ensure adherence to statutory and internal compliance.
• Liaise with external legal counsel when necessary.
• Provide leadership with legal insights to support strategic decisions, proposals, and expansion initiatives.
  
  

Commercial & Billing Coordination

• Work closely with the billing and finance teams to ensure contractual commercial clauses translate into accurate invoicing.
• Review commercial terms for clarity and enforceability.
• Resolve contract-related billing issues or ambiguities proactively.
• Collaborate with sales and operations to ensure contractual commitments align with service delivery.
  
  

Leadership & Collaboration

• Work directly with senior leadership on legal, corporate, and commercial matters.
• Communicate legal and commercial requirements clearly across teams.
• Support internal teams with training or guidance on contract processes, compliance, and best practices.
  
  

Requirements

• Bachelor’s or Master’s degree in Law (LLB/LLM) from a recognized institution.
• Prior experience working in the IT / Technology / Software Services industry is strongly preferred.
• Proven experience in drafting, reviewing, and negotiating a wide range of commercial and corporate contracts.
• Strong understanding of contract law, corporate law, and business compliance.
• Excellent written and verbal communication skills.
• Ability to interact confidently with customers, vendors, and senior leadership.
• Strong analytical and problem-solving skills with high attention to detail.
• Ability to manage multiple priorities independently and work in fast-paced environments.
