The Compliance Manager will lead and manage all secretarial and financial compliance functions within the organization. This role is pivotal in ensuring adherence to relevant regulations and internal policies, including the formation and management of committees, accurate and timely record-keeping, and completion of all necessary filings. The Compliance Manager will collaborate with internal teams and external stakeholders to maintain seamless compliance across all domains, providing expert guidance, particularly in preparation for the organization’s listing. The ideal candidate will possess deep knowledge of company secretarial practices, financial regulations, and compliance requirements, with strong skills in documentation, minute drafting, and statutory filings.

The ideal candidate will possess deep knowledge of company secretarial practices, financial regulations, and compliance requirements, with strong skills in documentation, minute drafting, and statutory filings.
Key Responsibilities
- Lead and manage all secretarial compliance functions, including the formation of committees, maintaining accurate and timely records, and ensuring all necessary filings are completed.
- Take charge of financial compliance tracking, ensuring adherence to relevant regulations and internal policies.
- Collaborate with internal teams and external stakeholders to ensure seamless compliance across all required domains.
- Provide expert guidance on compliance matters, particularly in the context of our preparation for listing.
- Ensure 100% accuracy in all secretarial and financial compliance filings, with no missed deadlines or errors
- Complete all required statutory filings and documentations ahead of regulatory deadlines.
- Successfully establish and manage all required committees, ensuring timely organization, documentation, and follow-up on action items.
- Regularly update and maintain comprehensive records of committee meetings, including accurate minutes and follow-up actions.
- Provide critical support in preparing the organization for listing, including ensuring all secretarial compliance requirements are met in alignment with listing regulations.
- Company Secretary (CS) degree: Essential for this role.
- Preferred: An additional degree in law (LLB) will be highly regarded, particularly if it includes specialization in corporate law or regulatory compliance.
- Additional certifications in corporate governance, risk management, or financial compliance will be considered an advantage.
- In-depth knowledge of company secretarial practices, including board meeting procedures, minute drafting, and maintenance of statutory registers.
- Expertise in managing corporate compliance, including statutory filings, adherence to the Companies Act, and other relevant regulations.
- Strong understanding of financial regulations and compliance requirements, including tax regulations, financial reporting, and audit preparation.
- Ability to perform detailed financial compliance checks and prepare necessary documentation.
- Professional-level written and verbal communication skills in English, essential for drafting reports, correspondence, and compliance documentation.
- Proficient in using Microsoft Office Suite (Word, Excel, PowerPoint) for preparing reports, presentations, and compliance documentation.
- Familiarity with specialized compliance management software and tools will be an added advantage.
