Corporate Legal Officer

CSM Technologies is hiring qualified candidates who can manage all corporate, commercial, and IT-related legal matters of the company. S/He should have work exposure in an IT / ITES / technology services company or reputed law firm handling tech clients.

Experience: 7-10 years

Qualification: LLB / LLM

Job Profile

1. Ensure compliance with SEBI regulations including Listing Obligations and Disclosure Requirements (LODR), Issue of Capital and Disclosure Requirements (ICDR), and Prohibition of Insider Trading (PIT).
2. Manage continuous disclosures, material event reporting, insider trading controls, and Structured Digital Database (SDD).
3. Oversee all regulatory filings with SEBI and stock exchanges (quarterly, half-yearly, annual).
4. Act as the primary liaison with stock exchanges and regulatory authorities.
5. Draft, review, and negotiate commercial, vendor, client, and partnership agreements.
6. Handle litigation, regulatory matters, and disputes in coordination with external counsel.
7. Provide legal advice on corporate, commercial, Mergers and Acquisitions (M&A), joint ventures, and strategic transactions.
8. Ensure compliance with data protection, IP, and technology-related laws.
9. Lead the legal and compliance team, manage external advisors, and control legal budgets.
10. Promote ethical practices, strong governance, and compliance culture across the organization.

Candidate Profile

1. Strong expertise in corporate legal and compliance roles, preferably with listed companies.
2. Strong expertise in SEBI laws, securities compliance, and stock exchange regulations.
3. Proven experience in regulatory filings, disclosures, and exchange communications.
4. Excellent drafting and negotiation skills for commercial and corporate contracts.
5. Experience managing litigation, regulatory inquiries, and external legal counsel.
6. Ability to advise senior leadership and Board on strategic legal matters.
7. Strong leadership, communication, and stakeholder management skills.
8. High attention to detail, integrity, and risk management orientation.
