Role Description This is a full-time, on-site Company Secretary role based in Kozhikode. The Company Secretary will be responsible for ensuring compliance with corporate laws and regulations, including managing statutory filings, maintaining secretarial records, and preparing agendas, notices, and minutes for board and shareholder meetings. The role includes advising clients on corporate governance, structuring board processes, and supporting the implementation of best practices under applicable company law and securities regulations. The professional will coordinate with internal teams and external stakeholders such as regulators, investors, auditors, and legal counsel to support corporate actions, transactions, and ongoing compliance. Day-to-day responsibilities will also involve drafting and reviewing corporate documents, monitoring regulatory changes, assisting in corporate restructuring or funding rounds, and providing timely, practical guidance to clients’ leadership teams.
Qualifications
- Professional qualification as Company Secretary (CS), with membership/eligibility for membership in the Institute of Company Secretaries of India (ICSI).
- Strong knowledge of company law, corporate governance, regulatory compliance, and securities laws relevant to Indian entities; exposure to cross-border or UAE-related regulations is an advantage.
- Experience in convening and managing board, committee, and general meetings, including drafting notices, agendas, resolutions, and minutes.
- Ability to handle statutory filings, secretarial records, and corporate documentation with accuracy and attention to detail.
- Strong drafting skills for corporate agreements, policies, and internal governance documents, with clear and precise written communication.
- Analytical and research skills to interpret regulatory updates, assess impact on clients, and propose practical compliance solutions.
- Collaborative mindset and stakeholder management skills to work effectively with clients’ leadership, auditors, legal advisors, and internal teams.
- High level of integrity, professional ethics, and confidentiality in handling sensitive corporate information.
- Proficiency with MS Office and comfort working with digital tools and platforms to manage compliance workflows and documentation.
