Job Description
Key Responsibilities
- Advise the Board of Directors on corporate governance, compliance with Companies Act 2013, SEBI (LODR) Regulations, and other statutes relevant to stock broking.
- Prepare and file statutory returns, annual reports, and disclosures with ROC, SEBI, NSE/BSE, and other regulators.
- Organize and conduct Board, Committee, and General Meetings; draft minutes, agendas, and resolutions.
- Manage share transfers, demat processes, investor grievances, and maintain statutory registers/records.
- Ensure timely compliance with FEMA, RBI guidelines for cross-border transactions, and internal policies on risk and ethics.
- Coordinate audits (statutory/secretarial), handle IPO/RTP processes if applicable, and liaise with legal counsel.
- Implement ESG reporting and corporate social responsibility initiatives as per regulatory mandates.
- Qualified Company Secretary (ACS/ACMA) from ICSI; CS Executive mandatory.
- Minimum 7+ years of post-qualification experience in stock broking, NBFC, or financial services sector.
- , with proven expertise in SEBI compliance for broking firms.
- LLB or MBA preferred; familiarity with stock exchange listing norms a plus.
- In-depth knowledge of SEBI, Companies Act, SCRA, and depositories (NSDL/CDSL) regulations.
- Proficiency in MS Office, compliance software (e.g., MZCS, Complinity), and e-filing portals.
- Strong drafting, negotiation, and interpersonal skills for board/stakeholder interactions.
- Ability to handle confidential information with high integrity in a regulated environment.
