manufacturers.

Role purpose

The Company Secretary – Asia will play a pivotal role in ensuring timely compliance with

company law provisions, corporate governance standards, and all statutory requirements

across the organization. This includes monitoring and coordinating compliance with relevant

laws (including labor, RBI, and FEMA), managing the proper conduct of board meetings and

AGMs, and advising the Board on new legal requirements. The role will also focus on

maintaining high corporate governance standards, including ABC and POSH compliance,

implementing governance policies, and providing compliance training across India.

The position is responsible for reviewing and managing contracts, including drafting and

vetting legal agreements, arbitration, and conciliation documents, as well as negotiating with

suppliers and customers. In addition, the Company Secretary will lead effective litigation

management, ensuring timely filings and coordination with external agencies and legal

bodies to resolve disputes and minimize legal risks.

Investigate all kinds of incidents and reports and provide expert advice to more senior

colleagues. Minimize risk exposures and ensure adherence with regulatory standards by

working with all internal functions to make sure compliance programs are properly

implemented.

Regulatory Affairs

Take responsibility for providing specific elements of the regulatory affairs service with

guidance from senior colleagues.

Document Preparation

Edit document in line with organizational style guidelines and prepare information for

publication.

Information and Business Advice

Provide specialist advice on the interpretation and application of policies and procedures,

resolving queries and issues and referring very complex or contentious issues to others.

Recommendations

Advise managers how to apply a wide variety of existing procedures and precedents.

Corporate Governance

Support corporate governance practices, aiding in policy enforcement and risk management

and contributing to transparent and ethical behavior.

Board Relationship

Develop and improve relationships with board members, identifying priorities, issues, and

strategic challenges and preparing them for discussion. Work is focused on a significant

function or equivalent area of the business.

Contract Management

Deliver required outcomes by managing day-to-day relationships with contract service

providers while working within an established contract management plan.

Contract Requirements

Identify contract requirements and write specifications for a small portfolio or area of the

business for existing contracts and/or new contracts.

Audit Compliance

Manage a portfolio of audit assignments. Ensure that the team plans and delivers audits that

cover identified risk areas, and that appropriate corrective actions are agreed on with

auditees. Resolve issues arising from audits and refer serious or contentious issues to the

audit program leader.

Litigation Management

Coordinate a specific set of legal cases, ensuring efficiency, effectiveness, and cost

conscious processing.

Education

Experience

The role further includes providing legal and compliance support to GKN Automotive

Bengaluru, managing the GKN Trust compliance, and overseeing corporate and internal

audits, secretarial audits, and IFC testing. The Company Secretary will ensure the timely

closure of follow-up points and compliance with all internal policies, including Legatrix

compliance
