About The Role
As AM – Secretarial, you will independently manage the secretarial, corporate governance and statutory compliance requirements of the listed parent company as well as internal group companies (Indian and overseas). The role ensures adherence to the Companies Act, SEBI Regulations, Listing Regulations and internal governance frameworks while supporting strategic business initiatives across multiple geographies. This role requires strong technical knowledge of legal and regulatory requirements relevant to corporate secretarial functions—both Indian and International. The ideal candidate should demonstrate accountability, structured execution and effective stakeholder management.
Key Responsibilities – (For jurisdictions including Africa, Mauritius, Latin America, USA, SAARC, UK, Asia, Netherlands, UAE, etc.)

Education and Experience: Qualified Company Secretary with a minimum of 6-7 years of post-qualification experience, preferably with exposure to listed companies and international group companies structures.

About The Role
As AM – Secretarial, you will independently manage the secretarial, corporate governance and statutory compliance requirements of the listed parent company as well as internal group companies (Indian and overseas). The role ensures adherence to the Companies Act, SEBI Regulations, Listing Regulations and internal governance frameworks while supporting strategic business initiatives across multiple geographies. This role requires strong technical knowledge of legal and regulatory requirements relevant to corporate secretarial functions—both Indian and International. The ideal candidate should demonstrate accountability, structured execution and effective stakeholder management.
Key Responsibilities – (For jurisdictions including Africa, Mauritius, Latin America, USA, SAARC, UK, Asia, Netherlands, UAE, etc.)
- Ensure timely schedule and maintain up-to-date secretarial records of Board Meetings and Shareholder Meetings;
- Oversee local regulatory filings such as annual returns, financial statements, director changes, share capital changes, KYC, Ultimate Beneficial Owner updates, etc.;
- Handle corporate actions and provide guidance to international subsidiaries in coordination with local consultants (e.g., acquisitions, investments, inter-company loans, guarantees, capital infusion, dividends, remittances etc.);
- Liaise with local Company Secretaries, legal counsel, consultants and regulatory authorities;
- Maintain and periodically update global entity health dashboards;
- Oversee compliance filings with RBI / FEMA regulations including FC-GPR, FC-TRS, ODI reporting (Form FC, APR, FLA) and related filings;
- Closely monitor timelines and reporting obligations on the FIRMS Portal.
- Assist with digitization of historical shareholder records of listed parent company and coordinate with RTA for investor grievance resolution;
- Manage secretarial functions and ensure compliance with Companies Act, SEBI Regulations and Listing Regulations;
- Handle secretarial compliances for the listed entity and its subsidiaries;
- Support conduct of AGM, Board Meetings, Committee Meetings, General Meetings and Postal Ballot processes;
- Oversee compliances related to issuance of Commercial Papers (CPs) and Non-Convertible Debentures (NCDs);
- Monitor and ensure Insider Trading compliance as per PIT Regulations.
Governance, Policies & Reporting
- Prepare and circulate internal updates on changes in applicable laws; interpret and analyse impact on the secretarial function;
- Assist with necessary updates in corporate policies based on regulatory changes;
- Support Annual Report preparation in collaboration with cross-functional teams.
- Assist with Stock Exchange reporting and compliances thereto;
- Support corporate restructuring activities including fund raising, mergers, acquisitions, incorporations, conversions, and other corporate actions;
- Handle secretarial compliances relating to ESGS schemes / stock options administration, and related documentation.
Education and Experience: Qualified Company Secretary with a minimum of 6-7 years of post-qualification experience, preferably with exposure to listed companies and international group companies structures.
