Vice President – Governance & Assurance

Location: Noida

Reporting To: Group Head – Legal

About the Role

We are seeking an experienced legal and compliance professional to lead Governance & Assurance initiatives at a Group level. This is an individual contributor role requiring deep expertise in corporate legal compliance, governance frameworks, regulatory advisory, and assurance mechanisms across multiple entities.

The role will partner closely with leadership teams to strengthen governance standards, monitor compliance effectiveness, interpret evolving regulations, and ensure adherence to applicable laws across jurisdictions. The incumbent will act as a strategic legal and compliance advisor to the business while driving enterprise-wide governance initiatives.

Key Responsibilities

Governance & Compliance Assurance

• Lead Governance & Assurance frameworks across group entities to ensure robust regulatory and statutory compliance.
• Strengthen enterprise-wide compliance programs, governance policies, controls, and assurance mechanisms.
• Conduct compliance reviews and governance assessments across functions and business entities.
• Ensure adherence to applicable corporate, regulatory, and statutory requirements.
• Drive compliance monitoring, reporting, escalation, and tracking mechanisms at a group level.

Regulatory & Legal Advisory

• Interpret and advise stakeholders on evolving laws, regulations, and governance standards across jurisdictions.
• Provide legal and compliance guidance on corporate and commercial matters from a non-litigation perspective.
• Advise senior management on regulatory risks, governance implications, and compliance obligations.
• Continuously monitor emerging legal and regulatory developments and assess business impact.

Corporate Legal & Statutory Compliance

• Ensure compliance with applicable provisions under:
• FEMA
• Companies Act
• RBI regulations
• IRDAI regulations
• Other statutory and regulatory frameworks
• Support entities in maintaining strong statutory governance and regulatory compliance standards.
• Review and enhance internal compliance processes, controls, and documentation practices.

Third-Party Governance & Risk Management

• Oversee legal and compliance due diligence for third-party engagements, partnerships, and vendors.
• Assess and mitigate compliance and governance risks associated with external stakeholders.
• Work with internal stakeholders to strengthen risk governance and compliance oversight.

Stakeholder & Leadership Management

• Collaborate with senior leadership, auditors, consultants, and business teams on governance and compliance matters.
• Act as a trusted advisor to management on legal, governance, and assurance-related issues.
• Support leadership reporting and governance reviews related to compliance and regulatory matters.

Desired Candidate Profile

• 15+ years of experience in Legal, Governance, Compliance, and Assurance functions.
• Qualification: LLB and Company Secretary (CS) preferred.
• Strong experience in Corporate Legal and Non-Litigation matters.
• Proven expertise in Governance & Assurance frameworks for large organizations or group entities.
• Strong understanding of:
• FEMA
• Companies Act
• RBI regulations
• IRDAI regulations
• Statutory and regulatory compliance frameworks
• Exposure to multi-country regulatory environments and international compliance standards is desirable.
• Strong analytical, advisory, and stakeholder management skills.
• Ability to independently drive governance and compliance initiatives in an individual contributor capacity.
• Experience in regulated sectors such as financial services, fintech, NBFC, insurance, or banking will be preferred.
