Position Specific Description: Paralegal to the Deputy General Counsel
CIG Energy, a subsidiary of CIG Companies, is seeking a corporate paralegal with 3-4 years of experience, reporting to and under the supervision of the CIG Energy General Counsel. Primary responsibilities include the following:

CIG Energy, a subsidiary of CIG Companies, is seeking a corporate paralegal with 3-4 years of experience, reporting to and under the supervision of the CIG Energy General Counsel. Primary responsibilities include the following:
- Legal Entity Corporate Compliance – coordinate the incorporation of corporations and formation of limited liability companies in Delaware or other states, and related state qualifications, prepare, corporate by-laws, operating agreements for limited liability companies, amendments, consents, minutes, resolutions, maintain corporate records and governance documentation for all legal entities, including stock transfers and ledgers for corporations, limited liability companies, and other legal entities.
- Document Management – draft, review, and file documents such as basic contracts (e.g., NDAs, assignments, etc.), corporate resolutions, and corporate filings (e.g., state registration, annual reports, etc.).
- Legal Research - research laws, regulations, and precedents to support legal advice and risk management.
- Transaction Support - assist with organizing documents and files on complex deals such as mergers and acquisitions (M&A), and with transaction due diligence.
- Record Keeping - maintain updated and accurate company records, including stockholder lists, board meeting minutes, Company policies, list of entities and other entity details.
- Liaison - communicate with internal teams, executives, clients, and government agencies.
- Minimum of at least 3-4 years at a mid-large size law firm or the law department of a large corporation;
- Familiarity with corporate secretary requirements, incorporation of corporations, formation of limited liability companies and corporate filings;
- Familiarity with U.S. Federal and state/regulatory agencies;
- Experience with Word, Excel, Power Point and other document management systems; digital repositories, as well as legal entity screening and process workflow tools;
- Well organized with excellent attention to detail;
- Proactive and able to work independently and take ownership of work streams;
- Excellent written and verbal communication skills;
- Impeccable professional ethics, integrity and judgment, and high level of discretion in handling confidential matters;
- Bachelor’s degree, ABA-certification, or similar credentials; and
- Notary or ability to become a notary public.
