Legal Attorney : Mining Co.

CLIENT: South Africa based global mining organization setting up base in India.Looking for Manager Buying with rich exposure in Mining equipment purchase , spares and consumables for multiple mining sites in SA.

Position Overview

Provide comprehensive legal support to the company’s South African diversified operations, which include mining and manufacturing businesses.The role hs accountability for contract quality, turnaround time, and risk identification, while escalating complex legal issues to senior legal leadership.

Key Responsibilities

1. Draft, review, revise, and negotiate a wide range of commercial contracts, including:

• Mining services and contractor agreements
• EPC, logistics, and transportation contracts
• Supplier, vendor, and procurement agreements
• Consultancy and professional services contracts
• NDAs, MOUs, amendments, addenda, and extensions
• Shareholders’ agreement
• Joint venture arrangements
• Complex funding and standard loan agreements
• Purchase and Sale of shares and shares subscription agreements

2. Contract Lifecycle Management

• Manage the end-to-end contract lifecycle from request to execution.
• Maintain contract trackers, repositories, and approval workflows.
• Monitor key contractual obligations, renewal dates, and termination notice periods.
• Support audits by providing accurate and complete contract documentation.

3. M&A, Commercial and Operational Legal Support

• Participate in M&A discussions to tailor legally sound deal structures.
• Provide first-level legal advice to Procurement, Operations, Finance, and Project teams on contractual matters.

4. Limited Regulatory & Compliance Support

• Support the company secretary and other members of the legal and compliance team to ensure support is received for matters being handled while reciprocating and supplying information and details sought by the overseas team.
• Flag compliance risks arising from contractual commitments.

5. Dispute Prevention & External Counsel Support

• Assist in managing contract-related disputes and claims.
• Coordinate with external counsel/attorneys on complex matters.

Incumbent profile:

• Rich Legal pedigree ( Reputed Law Firms: 5-8 years exp) with strong emphasis on commercial contracting.
• Exposure to mining, infrastructure, energy, or construction and building materials industry.
• strong expertise in corporate, commercial, and regulatory understanding coupled with excellent contract writing skills.
• Exposure to South African law or international contracting environments preferred.
