About the Role


We are looking for a detail-oriented and responsible professional to manage execution, compliance, and operational activities related to Debenture Trustee services, escrow operations, and structured finance transactions. The role involves handling end-to-end documentation, execution coordination, regulatory compliance, and transaction management while ensuring adherence to SEBI, RBI, and Companies Act regulations.


Key Responsibilities


  • Manage execution and documentation for Debenture Trustee assignments, including Non-Convertible Debentures (NCDs) and other debt instruments.
  • Coordinate end-to-end document execution activities, including signature follow-ups, stamping, notarization, safekeeping, and record maintenance.
  • Prepare, review, and maintain transaction documents, agreements, term sheets, escrow documents, and compliance records.
  • Ensure compliance with SEBI, RBI, Companies Act, and other applicable regulatory guidelines.
  • Coordinate securitization and structured finance transactions, including SPV-related documentation and operational execution.
  • Conduct financial and cash flow analysis for project finance and structured transactions.
  • Liaise with clients, legal counsels, registrars, depositories, bankers, and internal stakeholders for smooth execution of transactions.
  • Maintain MIS reports, compliance trackers, and transaction records accurately.
  • Ensure proper safekeeping and management of executed original documents and statutory records.
  • Assist in due diligence, compliance monitoring, and periodic reporting activities.


Required Skills & Qualifications


  • Qualification: CS / LLB
  • Experience in Debenture Trustee operations, escrow management, structured finance, or compliance-related roles will be preferred.
  • Knowledge of SEBI regulations, RBI guidelines, Companies Act provisions, and debt market operations.
  • Strong understanding of documentation and execution processes.
  • Good drafting, coordination, and communication skills.
  • Proficiency in MS Excel, MIS reporting, and documentation management.
  • Ability to manage multiple transactions and work within strict timelines.


Preferred Candidate Profile


  • Detail-oriented with strong organizational skills.
  • Ability to handle confidential documents and sensitive transactions professionally.
  • Strong coordination and follow-up capabilities.
  • Experience in financial services, trustee companies, legal/compliance firms, or NBFCs will be an added advantage.
