Job Summary
We are looking for a qualified and proactive Company Secretary (CS) to manage the company's secretarial, ROC compliance, and corporate governance functions while also supporting the Finance team in accounting and GST compliance. The ideal candidate should possess strong knowledge of the Companies Act, 2013, the LLP Act, 2008, other corporate laws, and practical experience in accounting and indirect taxation.
Key Responsibilities (KRAs)
Corporate Secretarial & ROC Compliance (Companies & LLPs)
- Ensure timely compliance with the Companies Act, 2013, LLP Act, 2008, and other applicable corporate laws.
- Manage all MCA and ROC compliances, including event-based and annual filings for Companies and LLPs.
- Draft agendas, notices, resolutions, minutes, and other secretarial documents.
- Maintain statutory registers, records, minutes books, and secretarial documentation for Companies and LLPs.
- Support due diligence, legal documentation, and secretarial audits.
Accounting & Finance
- Review accounting entries and ensure compliance with accounting standards.
- Assist in monthly and annual financial closing activities.
- Coordinate with statutory, internal, and tax auditors.
- Support financial reporting, reconciliations, and MIS preparation.
- Assist in the maintenance of books of accounts and statutory records.
GST & Tax Compliance
- Prepare, review and file GST returns (GSTR-1, GSTR-3B, Annual Return, etc.).
- Reconcile GST data with books of accounts and as required.
- Monitor GST compliance across business operations.
- Coordinate with tax consultants for GST and other indirect tax matters.
Compliance & Governance
- Maintain a statutory compliance calendar for all Companies and LLPs within the group.
- Ensure timely completion of all secretarial, ROC, GST, and statutory compliances.
- Identify compliance risks and recommend corrective actions.
- Assist in implementing and strengthening internal controls and governance practices.
Qualifications
- Qualified Company Secretary (Member of ICSI).
- Bachelor's degree in Commerce (B.Com) or related field.
Experience
- 4–5 years of post-qualification experience in Secretarial, ROC, Accounting, and GST compliance.
- Experience in handling multiple group companies or LLPs will be preferred.
Required Skills
- Strong knowledge of the Companies Act, 2013, MCA filings, and corporate governance.
- Working knowledge of GST laws and accounting principles.
- Proficiency in MS Excel and accounting software such as Tally.
- Excellent drafting and documentation skills.
- Strong analytical, organizational, and communication skills.
- Ability to work independently and manage multiple compliance deadlines.
