Role Overview

We are seeking a highly detail-oriented and proactive Company Secretary / Compliance Officer to lead corporate governance and ensure end-to-end regulatory compliance. This role is critical in maintaining legal integrity, supporting strategic initiatives, and ensuring adherence to evolving regulatory frameworks.


Key Responsibilities

Corporate Governance

  • Ensure compliance with Companies Act, SEBI regulations, and other applicable laws
  • Maintain statutory registers, records, and timely regulatory filings
  • Organize Board Meetings, AGMs, and committee meetings, including agenda preparation and minute recording

Compliance & Regulatory Management

  • Develop and implement robust compliance policies and frameworks
  • Track regulatory updates and ensure organization-wide adherence
  • Act as the primary liaison with regulatory authorities for filings, disclosures, and documentation

Listing & SME IPO Compliance

  • Ensure adherence to SME IPO listing regulations and post-listing compliances
  • Coordinate with stock exchanges, regulators, and legal advisors
  • Advise leadership on corporate actions, shareholder matters, and regulatory implications

Risk & Audit

  • Identify compliance risks and implement mitigation strategies
  • Conduct internal audits and periodic compliance reviews
  • Report insights and recommendations to senior management

Training & Awareness

  • Conduct compliance training sessions across teams
  • Promote a strong culture of governance, ethics, and regulatory discipline


Qualifications

  • Bachelor’s degree in Law, Finance, Business Administration, or related field
  • Mandatory: Qualified Company Secretary (CS)
  • Minimum 2+ years of relevant experience in compliance, corporate governance, or secretarial functions
  • Mandatory Experience: Hands-on experience supporting or managing compliance for an SME IPO listed company for at least 1 year
  • Strict Criteria: Candidates with experience only in unlisted companies will not be considered


Key Skills

  • Strong knowledge of Companies Act, SEBI regulations, and listing compliances
  • Practical exposure to SME IPO processes and post-listing requirements
  • Excellent communication, stakeholder management, and coordination skills
  • High level of integrity, attention to detail, and confidentiality
  • Ability to manage multiple priorities in a fast-paced environment
  • Proficiency in compliance documentation, filings, and reporting tools
  • Strong analytical and problem-solving mindset
