Associate / Senior Associate – Corporate & Transaction Advisory

📍 Location: NSP, Delhi

We are looking to expand our Corporate & Transaction Advisory practice and are hiring motivated lawyers or company secretaries for the role of Associate / Senior Associates.

Required Key Areas of Experience:

• Drafting, reviewing and negotiating transaction documents including:

• Shareholders’ Agreements (SHA)
• Share Subscription Agreements (SSA)
• Share Purchase Agreements (SPA)
• Investment and Joint Venture documentation
• ESOP schemes
• Other transaction documentations

• Structuring domestic and cross-border transactions

• Merger & Acquisition
• Share transfers
• Slump sale
• Disinvestments
• Negotiations and deal making

• Strong working knowledge of:

• FEMA regulations and Compliances
• Foreign Direct Investment (FDI)
• Overseas Direct Investment (ODI)
• ECBs and related RBI regulations
• Corporate laws
• Stamp duty implications

• Corporate secretarial documentation and compliance under the Companies Act, 2013

• Advising on board/shareholder processes, corporate governance and regulatory compliances

Candidate Profile:

• Associate: 2–4 years PQE

• Senior Associate: 4–7 years PQE

• Prior experience with law firms, transaction advisory firms or corporate legal teams or CS firms preferred

• Strong drafting, analytical and negotiation skills

• Ability to independently handle transactions and client interactions
